LITTLE BROOK STUDIOS | YOUTUBE MANAGEMENT TERMS OF SERVICE Agreement: By checking the "I have read and agree to the Terms of Service" box and submitting this online form, the client identified on this form (“Client”) agrees to be bound by these Terms of Service (“Agreement”) provided by Little Brook Studios (“Company”). This Agreement governs the service packages selected on this form and any subsequent modifications, upgrades, or additional services requested by the Client and accepted by the Company. 1. SERVICE PACKAGES & PRICING The Client agrees to enroll in the service package(s) selected on the preceding form at the rates indicated therein. Any services requested outside the defined scope below shall be billed at the Company’s prevailing hourly rate of $200 per hour. 2. DEFINITIONS AND SCOPE OF SERVICES Channel Makeover (One-Time Add-On): Custom creation of channel graphics (Banner and Profile Picture) and formatting the Channel Home Page layout, including organizing existing content into playlists. This package includes up to two (2) rounds of client revisions for the graphics, not to exceed one (1) total hour of revision labor. Any revisions requested beyond two rounds, or labor exceeding the one-hour cap, will be billed at the prevailing rate of $200 per hour. Includes guidance regarding Official Artist Channel (OAC) application; however, Company does not warrant or guarantee OAC approval. Complete YouTube Management (Ongoing): A comprehensive monthly retainer encompassing channel maintenance, hands-off uploads, and general strategy. Maintenance: Limited to one (1) update request per calendar month, including updating banner/profile picture (using Client-provided art), changing the featured video, or playlist organization. Excludes custom graphic design or asset creation. Uploads: Includes uploading video files, writing titles/descriptions, and inputting SEO tags. If no thumbnail is provided, a video frame will be selected. Uploads beyond the monthly allowance (four [4] long-form or eight [8] shorts) shall incur an overage fee of $25 per long-form video or $12.50 per short. Strategy & Analytics: Includes periodic topic/strategy suggestions and basic analytics updates, with all strategy and reporting delivered exclusively via email. 3. BILLING AND PAYMENT Authorization: Client authorizes Company to charge the payment method on file in accordance with the billing frequency selected (monthly or annual). Annual Plans: Annual fees are payable in advance, non-refundable, and constitute a twelve (12) month commitment. Monthly Plans: Monthly retainers require thirty (30) days’ prior written notice for cancellation. Late Payments: Services shall be suspended if payment is more than five (5) days past due. 4. CLIENT OBLIGATIONS Access: Client shall provide Company with “Manager” access to the YouTube Channel. Copyright: Client represents and warrants that it possesses all necessary rights, licenses, and permissions for all content provided. Indemnification: Client shall indemnify, defend, and hold harmless Company from any claims, damages, liabilities, or expenses (including attorneys’ fees) arising out of copyright strikes, community guideline violations, or ownership disputes. 5. COMMUNITY STANDARDS AND SCHEDULE Observance: Company observes Shabbos and Jewish Holidays. No services shall be performed during such times. Urgent requests submitted prior to Shabbos shall be addressed after the conclusion of Shabbos (72 minutes after sunset) or the next business day. Content Policy: Company reserves the right to refuse services for content inconsistent with its religious or ethical standards. 6. DATA SECURITY AND STORAGE Account Security: Company employs industry-standard security measures but disclaims liability for breaches attributable to third-party platforms or cyber-attacks absent gross negligence. Shared Access Risks: Client remains responsible for the security of its own credentials and devices. File Archival: Company retains project files and raw assets for thirty (30) days post-upload/completion. Client is solely responsible for permanent backups. 7. LIMITATION OF LIABILITY Performance: Company utilizes best practices but makes no warranties regarding specific growth metrics, monetization, or financial results. Platform Actions: Company shall not be liable for termination, demonetization, or strikes imposed by YouTube/Google. 8. COMMUNICATION AND PUBLICITY Confidentiality & Company IP: All strategy documents, proposals, PDFs, email communications, and proprietary resources provided by the Company are for the Client's exclusive use. The Client agrees not to share, distribute, publish, or repurpose these materials for third parties without prior written consent from the Company. Official Channels: Email shall be the sole official channel for task requests, asset delivery, and approvals. Company disclaims liability for instructions transmitted via WhatsApp or SMS. Business Hours: Services are performed Sunday–Thursday 9:00 AM–6:00 PM and Friday 9:00 AM–12:00 PM. Marketing Rights: Client grants Company the right to display Client’s name, channel name, and logo in Company’s portfolio. Channel Credit: Company reserves the right to place a credit line (e.g., “Managed by Little Brook Studios”) in the channel description or video descriptions unless otherwise agreed in writing. 9. DISPUTE RESOLUTION Any dispute arising under this Agreement that cannot be resolved amicably shall be submitted to a mutually agreed Beis Din (Rabbinical Court) or binding arbitration panel seated in New York. Both parties expressly waive the right to litigate in secular court absent authorization from the selected Beis Din. 10. ENTIRE AGREEMENT This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, representations, or agreements, whether oral or written. No amendment shall be effective unless executed in writing by both parties. Checking the agreement box and digitally signing this form carries the same legal weight as a physical signature.
